What is a Wholesale Investor?
A wholesale investor is an individual or entity that meets certain criteria under New Zealand law – broadly speaking, they have sufficient previous investing experience that means they don’t require disclosure.
Wholesale investors are assumed to be experienced, sophisticated investors who are able to make informed decisions based on their own experience and to seek their own financial advice. As a result, wholesale offers don’t have the same regulatory protections as retail investment offers.
Do You Qualify as a Wholesale Investor?
The following criteria can help determine whether you can participate in offers reserved for wholesale investors. Some people may qualify for all available wholesale offers, while others may qualify on a per-offer basis.
Qualifying for All Wholesale Offers
You may qualify for all wholesale offers if you are:

This refers to entities whose core business is providing financial services. Examples include registered banks, licensed financial advisers, brokers and fund managers.

1. You own (or have owned during the previous two-year period) a portfolio of financial products of at least NZD 1million, or
2. During the previous two-year period you’ve carried out transactions to acquire financial products where the total amount payable was at least NZD 1million, or
3. You’ve been employed or engaged in an investment business and participated (to a material extent) in investment decisions for at least 2 years out of the past 10 years.
You have had net assets or turnover of over NZD 5 million for the past two completed financial years.
Certified government agencies automatically qualify.
Qualifying for Specific Wholesale Offers
You may qualify for all wholesale offers if you:

A retail investor is entitled to certain regulatory protections, including receiving a product disclosure statement for an offer, access to a free independent dispute resolution scheme if things go wrong, and receiving information about an investment’s ongoing performance. Wholesale investors are people or organisations who have sufficient previous investing experience that means they don’t require the same level of protection. In order to be a wholesale investor, you must meet legally prescribed criteria.
